1. Acceptance of Terms
By accessing or using the WebGuru NZ website at webguru.org.nz, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.
2. About WebGuru NZ
WebGuru NZ is a digital engineering and web design business registered and operating in New Zealand at 2/156 Universal Drive, Henderson, Auckland 0610. We provide web design, local SEO, app automation, and managed hosting services primarily to the West Auckland trade and services sector.
3. Use of Website
You agree to use this website only for lawful purposes and in a manner that:
- Does not infringe the rights of any third party
- Does not transmit any harmful, offensive, or unlawful content
- Does not attempt to gain unauthorised access to our systems
- Does not interfere with the proper operation of this website
4. Service Enquiries & Contracts
Submitting an enquiry via our contact form does not constitute a binding contract. A contract for services is only formed when both parties have signed a written agreement or Statement of Work (SOW). All project quotes are valid for 30 days from the date of issue.
5. Intellectual Property
All content on this website — including text, graphics, logos, images, and code — is the property of WebGuru NZ or our clients and is protected by New Zealand and international copyright law. You may not reproduce, distribute, or create derivative works without our express written permission.
For client projects, ownership of custom code and design assets transfers to the client upon full payment, unless otherwise agreed in writing.
6. Payment Terms
Unless otherwise agreed in a written SOW, our standard payment terms are:
- 50% deposit required before project commencement
- 50% balance due on project completion/launch
- Monthly retainers are invoiced in advance on the 1st of each month
- Invoices are due within 14 days
7. Hosting & Uptime
Where WebGuru NZ provides managed hosting, we target 99.9% monthly uptime. Scheduled maintenance will be notified at least 24 hours in advance. We are not liable for outages caused by third-party providers (e.g. datacentres, DNS registrars, or CDN providers).
8. Limitation of Liability
To the maximum extent permitted by law, WebGuru NZ is not liable for any indirect, incidental, or consequential loss arising from your use of our website or services, including lost revenue, data loss, or business interruption. Our total liability in any event shall not exceed the amount paid by you to WebGuru NZ in the preceding 3 months.
9. Third-Party Links & Services
Our website may contain links to or integrate with third-party services (e.g. Google Maps, payment gateways). We are not responsible for the content, availability, or terms of those services.
10. Termination
Either party may terminate an ongoing service agreement with 30 days' written notice. Upon termination, all outstanding invoices become immediately due. WebGuru NZ reserves the right to suspend services for non-payment.
11. Governing Law
These Terms of Service are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of Auckland, New Zealand.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our website after changes constitutes acceptance of the revised terms. We will update the "Last updated" date above.
